General conditions of use

Introduction

The purpose of these conditions of use is to specify the rights and responsibilities of a user or a group of users (hereinafter the "User") in the interactions made with all the resources and content set up by STATION F on FUTURE 40 website (hereinafter the "Platform").

FUTURE 40 startups are the 40 best performing startups of STATION F hand-picked by our staff among the 1000 companies on campus.

The Platform is meant to connect investors to FUTURE 40 startups.

The Services provided by STATION F to the User are free of charge. However, the User acknowledges that the Platform connects Users for financial purposes.

The User acknowledges that by accessing or using the Platform, the User accepts all the provisions of these general conditions of use, and the privacy policy.

These terms of use do not replace the obligation to comply with current French legislation.

Access to the Platform

The User acknowledges that in order to benefit from the Platform, he/she must have compatible computer equipment such as, in particular, a computer, a smartphone or a digital tablet equipped with a Wi-Fi card or an Ethernet port (hereinafter the "Equipment"), which he/she uses under his/her sole responsibility. The user must ensure that the Equipment does not contain any virus or other malicious program that could cause damage to the Platform or to any third party.

Access to the Services requires the creation of a User account. The creation of an account requires the User to indicate the following elements: first name, last name, investment fund's name (if required), e-mail address. A link will be sent to the e-mail address to authenticate the User.

The User is solely responsible for the security of his/her identification elements.

If the User disagrees completely or partially with these General Conditions of Use, he/she shall not use the Platform.

If the User wants to erase his/her account, he/she shall refer to the following privacy policy.

User's commitments

Without prejudice to compliance with the laws and regulations in force, the User undertakes to use the Platform reasonably and in accordance with the rules of good conduct on the Internet.

In particular, he/she refrains from any fraudulent, abusive or excessive use of the Platform, such as (non-exhaustive list):

voluntary or involuntary congestion of the network and/or mail servers and/or recipients of electronic mail by unauthorized mailing (spamming, denial of service attack for example);
sending mass messages or generating mass responses that may disrupt the availability of servers or networks;
sending mass messages or generating mass responses that may disrupt the availability of servers or networks;
piracy in any form whatsoever, intrusion into computerized or audiovisual systems, hacking, propagation of viruses or any other malicious program intended to cause harm in any form whatsoever;
sharing the link that authenticates the User and/or gives access to the Platform to third parties.

It is expressly pointed out that the Internet is not a secure network. Under these conditions, it is the User’s responsibility to take all appropriate measures (VPN for example) in order to protect his/her own data and/or software in particular from contamination by any viruses circulating on the Internet network or from the intrusion of a third party into the systems of his/her equipment for any purpose whatsoever, and to proceed with back-ups on his/her Equipment before, during and after the use of Platform.

In this respect, the User acknowledges that he/she is fully aware of:

the unreliability of the Internet network and the fact that there is no guarantee of performance in terms of the volume and speed of data transmission;
the security risks inherent in the transmission of data via the Platform;
that the integrity, authentication and confidentiality of information, files and data of any kind that he wishes to exchange on the Internet cannot be guaranteed. The User must not therefore transmit messages via the Internet whose confidentiality he would like to see guaranteed beyond doubt.

All Users undertake to refrain, with regard to the personal information and data to which they have access, from any collection, any misuse and, in general, any act likely to infringe on the privacy or reputation of others (e.g. fishing, identity theft, resale of data).

The User shall provide information that are exact and correct, and that do not mislead STATION F. If the information has changed, the User shall inform STATION F about that.

Finally, any User who discovers a vulnerability concerning the security of all or part of the Platform, undertakes to transmit in good faith and without delay to STATION F his discovery and any information enabling STATION F to remedy the situation as soon as possible. Failure to inform STATION F as soon as possible is likely to incur the User’s criminal liability.

STATION F commitments and disclaimers

STATION F makes every effort to ensure a high availability of the Platform. However, it cannot guarantee uninterrupted and trouble-free operation of the access to the Platform, nor in particular specific transmission times and capacities.

The User is notably informed that STATION F reserves the right to suspend access to all or part of the Platform at its own discretion, notably for reasons of maintenance or piracy, without the User being able to raise any claim or dispute in this respect.

In the case the User provides false, inaccurate, obsolete, incomplete or misleading information, STATION F will, immediately and without prior notice, suspend the User’s access to his/her account and refuse access, temporarily or definitely to all or a part of the Platform.

The User acknowledges that STATION F does not intervene as a finance professional or adviser, STATION F being an intermediary.

STATION F shall in no circumstance be held liable for any indirect loss suffered by the User, any business disturbance, loss of profit, loss of reputation, expected gains, or image loss of any kind.

Intellectual property

The User guarantees that he/she is the owner or assignee of all intellectual property rights attached to the information and content sent or submitted to STATION F in the context of the Platform.

The User agrees not to (i) attempt to access or copy the Platform source codes; (ii) use the Platform for purposes other than its normal use; (iii) create copies of the Platform; (iv) reproduce, correct, extract, modify, translate into any language, reuse, arrange, adapt, decompile (except and only to the extent expressly permitted by applicable law), or incorporate the Platform in another software or create derivative works based on the Platform, whatever the means and the medium; (v) conduct penetration testing or attempt to obtain a denial of service on the Platform; (vi) carry out any form of illicit extraction of data from the Platform.

Responsibilities

The User is solely responsible for any damage caused to third parties as a result of his/her use of the Platform. In this respect, he/she guarantees and holds STATION F harmless from any recourse by third parties.

STATION F is subject to an obligation of means regarding the performance of its obligations under the present term of use.

Notwithstanding any stipulation to the contrary, STATION F cannot be held liable:

in the event of incompatibility or malfunction of the User's computer equipment;
in the event of incompatibility or malfunction with messaging systems or applications set up and/or operated by third parties;
in the event of incorrect installation and/or incorrect configuration and/or malfunction of the User's equipment;
in the event of failure by the User to comply with his/her obligations;
in the event of disturbances and/or total or partial unavailability and/or interruption of all or part of the Services provided by third party operators;
in the event of piracy of all or part of the Platform, except in the event of negligence by STATION F in the security of its computer system.

Finally, and to the extent permitted by law, as the Platform is provided free of charge, the User declares that he waives any recourse against STATION F and its insurers for any damage arising from the Use of the Platform.

Sanctions

Any attempt at intrusion by a User may result in the removal of his/her account. Access to the Platform may also be refused to any person who has committed an action contrary to these conditions of use.

The User is also informed that STATION F is obliged to report any violation of the law that is found and reserves the right to initiate criminal proceedings independently of the internal sanctions implemented.

Personal data

By using the Platform, the User agrees that his/her personal data (last name, first name, e-mail address, function) will be shared with the Users and/or third parties in order to connect investors to FUTURE 40 startups.

Applicable law

The present general conditions of use are governed by French law.

In the event of a dispute arising from the interpretation or execution of these terms and conditions, jurisdiction is expressly attributed to the courts of Paris, notwithstanding the plurality of defendants or the introduction of third parties and even for summary proceedings. This stipulation does not apply in the event of a dispute with a non-merchant, for which the legal rules of jurisdiction apply.
